Our projects are driven through our commercially sustainable BBBEE model

We are constantly adding new projects to develop and support. Our model provides for starting new enterprise and / or supplier projects, or investing in existing businesses.

 

Smaller ESD Contributions

It is however not practical and financially viable to allocate small amounts of ESD Contributions to prescribed ESD Projects on a contribution-by-contribution basis. The ESD Company will therefore aggregate various smaller ESD contributions from multiple Contributing Companies and combine and invest their Contributed Capital on a consolidated basis into Qualifying and Approved ESD Projects. In this manner, the ESD Company creates critical mass, cost efficiencies and enables all Contributing Companies to share in the equity successes of such ESD projects on a pro-rata basis. Contributing companies may however indicate preference to which projects ESD funds should be allocated.

 

Larger ESD Contributions

In accordance with our Fund Rules, it may be agreed that a a separate class of ESD Share may be issued to the Contributing Company enabling it to determine, together with the Company and its Black Fund Managers, an Investment Mandate and nominate its own existing or future ESD Projects to be funded through its Contributed Capital.

 

Details of the Investment Mandate to be agreed between the Contributing Company, the Company and The Black Fund Managers will be recorded in the Class ESD Shares Subscription Agreement.
